An offer doesn't last forever. Sometimes it dies, and sometimes it can't be killed at all. Remember the YES button the offer hands over? It's still plugged into the offer's wall. So in every fact pattern, ask one question. Is the button still live? The simplest way to kill an offer is to pull the plug. That's revocation. The offeror can revoke any time before the offeree accepts. Even if she promised to keep it open for a week, a bare promise with nothing paid for it doesn't bind her. But a revocation only works when the offeree receives it. While the message is still on its way, the button stays live, and the offeree can still press it. Acceptance is different. Under the mailbox rule, it counts when it's sent. So a yes mailed before the revocation arrives makes a contract. The plug can also be pulled indirectly. In Dickinson vs. Dodds, Dodds offered to sell land, open till Friday. Before then, Dickinson heard from a reliable source that Dodds had agreed to sell to someone else. That was enough. Once the offeree reliably learns the offeror sold to someone else, the offer is dead. A mere rumor won't do it. Revocation is just the first of five ways an offer dies. Think R, L, L, T, D. Revocation, lapse of time, lapse by death or incapacity, termination by rejection and destruction or illegality. Lapse of time is simple. When the stated period runs out, the button goes dark. With no stated time, it lasts a reasonable time, maybe around three months for land. Death or permanent incapacity of either party ends the offer automatically, even if the other side never finds out. Say a collector mails a gallery an offer to buy a sculpture for $80,000, open for two weeks. Three days later, a stroke leaves him permanently incapacitated. The gallery, unaware, mails its acceptance before the two weeks are up. Too late. The offer died with the stroke, so there's no contract. Had the incapacity been only temporary, the contract would be voidable. Next, rejection. Saying no or making a counteroffer, hands the button back. A counteroffer rejects the old offer and makes a new one, and it works when the offeree receives it. But a mere question doesn't kill anything. Could you do 9000? That's just an inquiry. The button stays live. And if the subject matter is destroyed, or the deal becomes illegal before acceptance, the offer dies too. Now the other half. Some offers are locked open. The offer reaches for the plug and it won't come out. There are four locks. The first is an option contract. The offeree pays something, even a dollar, to keep the offer open. Now the offeror can't revoke during the option period. And an option is a strong lock. It survives the offeror's death and it survives a counteroffer. 요약 영상은 요약을 받을 수 있습니다. 요약을 받을 수 있습니다. 요약을 받을 수 있습니다. 요약을 받을 수 있습니다. 요약을 받을 수 있습니다. We'll hold this price on 500 units until May 1st. On March 20th, it writes, Never mind, we revoke. That revocation is ineffective. The wholesaler is a merchant, it signed a writing, and May 1st is within 3 months. The retailer can still accept until May 1st. Compare a homeowner's unpaid promise to hold a lawnmower offer open for a week. Not a merchant, and nothing paid. No lock, so selling it to someone else ends the offer. The third lock is reliance. If the offer should expect the offeree to rely on the offer before accepting, and the offeree does, the offer becomes irrevocable for a while. In Drennan vs. Starr paving, a paving sub's bid was used in a general contractor's winning bid for a school job. The next day, the sub claimed a mistake and backed out. Too late, the sub knew its bid would be used, and the contractor relied on it. So the sub was held to its price. The fourth lock is for unilateral contracts, where the offer asks for performance. Once the offeree starts performing, the offer can't be revoked, and the contract forms when she finishes. Preparation isn't performance. Say Nora offers Pat $500 to paint her fence. An option, a firm offer, reliance or performance begun. If it's locked, the revocation is a nullity. And on the California bar, nothing changes. California's commercial code has the same firm offer section and Drennan is a California case. Don't memorize it, just ask, is the offer still live?
